Software License Agreement
This Software License Agreement governs the use of Rogue Trading Systems automated trading software, strategy files, updates, configuration materials, documentation, and related licensed products.
Rogue Software Is Licensed, Not Sold
A Rogue Trading Systems subscription grants you a limited right to use the licensed software. It does not transfer ownership of the software, source code, strategy logic, algorithms, branding, or other intellectual property.
1. License Grant
Subject to payment of the applicable monthly subscription fee and continued compliance with this Agreement, Rogue Trading Systems grants you a limited, non-exclusive, non-transferable except as expressly permitted below, revocable license to use the licensed Rogue strategy software for your own authorized trading purposes.
One active Rogue license provides access to the complete current Rogue Trading Systems strategy lineup made available under the subscription.
2. One License Covers All Rogue Strategies
A single active Rogue Trading Systems license provides access to all strategies included in the current Rogue strategy package, rather than requiring a separate license for each individual strategy.
The strategy lineup may be updated, revised, expanded, or otherwise changed by Rogue Trading Systems over time.
3. One Computer Per License
Each Rogue Trading Systems license is authorized for use on one computer at a time.
The licensed software may not be simultaneously activated or used on multiple computers under a single license unless Rogue Trading Systems expressly authorizes otherwise in writing.
Customers who require use on more than one computer must obtain an additional license for each additional computer.
4. Multiple Compatible Brokerage and Prop-Firm Accounts
Within the authorized one-computer license, the customer may use Rogue Trading Systems software with multiple compatible brokerage and proprietary trading firm accounts, subject to the rules, account limitations, policies, and technical requirements imposed by the applicable brokers, firms, platforms, and account providers.
Rogue Trading Systems does not impose a separate per-account software-license fee for compatible accounts used from the authorized computer. Actual account availability and simultaneous deployment may be limited by applicable third-party rules, platform capabilities, brokerage requirements, or technical conditions.
The customer remains responsible for confirming that automated trading and the intended deployment are permitted under the current rules of each brokerage or prop firm.
5. Replacement Computer Transfers
A customer may transfer an active Rogue Trading Systems license to a replacement computer.
The prior computer may be required to be deactivated before the replacement computer can be activated. Rogue Trading Systems may use reasonable license-verification or deactivation procedures to complete the transfer.
Replacement-computer transfers are intended to permit legitimate hardware replacement, repair, upgrade, or migration and may not be used to operate the same single license simultaneously on multiple computers.
6. Monthly Subscription
Rogue Trading Systems software is licensed on a monthly subscription basis unless another written licensing arrangement is expressly offered.
The license remains active only while the applicable monthly subscription is current and paid.
7. Expiration and Loss of Access
When the monthly subscription expires, is cancelled, or is not successfully renewed, access to the Rogue Trading Systems software ends.
The licensed strategies may be disabled, deactivated, or otherwise become unavailable after the subscription term ends.
The customer is responsible for ensuring that no strategy is relied upon for active position management after the license has expired or become inactive.
8. No Refunds
Rogue Trading Systems software licenses and subscription payments are non-refundable once payment has been processed and software access has been provided, except where a refund is required by applicable law.
The customer is responsible for evaluating the product, platform requirements, account requirements, and licensing terms before purchasing.
Trading losses, dissatisfaction with trading results, prop-firm rule changes, failed evaluations, account losses, or failure to use the software do not create a right to a refund.
9. Updates Included
Software and strategy updates released for the licensed Rogue package are included while the customer’s monthly subscription remains active.
Included updates may include bug fixes, compatibility updates, maintenance releases, approved strategy revisions, configuration changes, or newly supported versions.
Rogue Trading Systems may require customers to install an updated version in order to maintain compatibility, support, or continued access.
10. Ownership
Rogue Trading Systems retains all ownership rights, title, and interest in and to the licensed software and related materials.
This includes, where applicable:
- Strategy source code
- Compiled strategy files
- Trading logic and algorithms
- System architecture
- Configuration structures
- Documentation
- Installation materials
- Strategy names
- Graphics and branding
- Updates and revisions
- Other proprietary intellectual property
11. Personal or Business Customer Use
A Rogue license is issued to the individual or business customer that purchases the subscription.
The license may not be shared among unrelated traders, users, businesses, organizations, or third parties.
12. Prohibited Distribution
You may not distribute, sell, sublicense, rent, lease, lend, upload, publish, transfer, share, or otherwise provide Rogue Trading Systems software to another person or entity without prior written authorization.
You may not provide another person with licensed strategy files, activation information, protected configuration materials, or other information intended to permit unauthorized use.
13. Reverse Engineering and Extraction
To the maximum extent permitted by applicable law, you may not reverse engineer, decompile, disassemble, decode, reconstruct, extract, discover, or attempt to derive the source code, algorithms, proprietary logic, internal design, or protected components of Rogue software.
You may not attempt to defeat licensing protections or obtain unauthorized access to proprietary strategy logic.
14. Modification
You may not modify, adapt, alter, translate, merge, or create derivative works from Rogue software unless Rogue Trading Systems expressly authorizes the modification in writing.
Access to user-configurable strategy inputs does not grant permission to modify the underlying software or proprietary system logic.
15. Strategy Configuration
Rogue strategies are developed and validated using defined configurations. Changing strategy inputs may materially change system behavior, trade frequency, risk, drawdown, and performance.
Customers assume responsibility for configuration changes they make outside the supplied or supported settings.
16. Installation and System Requirements
Rogue strategy software is intended for use within supported NinjaTrader® 8 environments and may require compatible Windows hardware, data connections, brokerage connectivity, futures permissions, and other third-party services.
The customer is responsible for maintaining the equipment, platform, connections, permissions, and third-party services necessary to operate the software.
17. License Activation
Rogue software may use activation, machine authorization, account identification, license keys, customer identifiers, or other technical controls to enforce the one-computer license.
The customer agrees not to circumvent, disable, manipulate, or interfere with licensing or activation controls.
18. NinjaTrader® and Other Third Parties
Rogue Trading Systems software is designed for use with supported third-party technology such as NinjaTrader® 8.
NinjaTrader® is a registered trademark of NinjaTrader Group, LLC. No NinjaTrader company has any affiliation with the owner, developer, or provider of the products or services described herein, or any interest, ownership or otherwise, in any such product or service, or endorses, recommends or approves any such product or service.
NinjaTrader®, brokers, data providers, exchanges, and proprietary trading firms remain governed by their own terms, rules, technology, and requirements.
Rogue Trading Systems does not control third-party platform changes, brokerage outages, data-feed behavior, prop-firm rules, exchange conditions, or other external services.
19. Automated Trading Risk
The licensed software may submit, modify, manage, and exit orders automatically. Automated trading involves both financial and technical risk.
The customer remains solely responsible for deciding when to enable the software, which accounts to use, position sizing, overall account exposure, and monitoring open orders and positions.
20. No Performance Guarantee
Rogue Trading Systems does not guarantee profitability, trading success, account funding, proprietary trading evaluation success, payout eligibility, win rate, maximum drawdown, or any other financial result.
Historical, hypothetical, simulated, or backtested performance does not guarantee future results.
21. Technical Support
An active license may include reasonable technical assistance relating to supported installation, activation, configuration, strategy updates, and normal software operation.
Technical support does not include individualized investment advice, discretionary trading decisions, account management, or responsibility for third-party systems.
22. Suspension
Rogue Trading Systems may temporarily suspend a license where reasonably necessary to investigate suspected unauthorized distribution, simultaneous multi-computer use, license sharing, fraud, payment disputes, security concerns, or other material violations.
23. Termination
Rogue Trading Systems may terminate a license for material breach of this Agreement, including unauthorized distribution, resale, copying, license circumvention, fraudulent use, or infringement of Rogue intellectual property.
Upon termination, the customer must stop using the licensed software and remove unauthorized copies from the customer’s possession or control.
24. No Warranty
To the maximum extent permitted by law, Rogue Trading Systems software is provided on an “as is” and “as available” basis.
Rogue Trading Systems does not warrant uninterrupted operation, error-free performance, compatibility with every platform version, or successful operation in every computer, brokerage, data, prop-firm, or trading environment.
25. Limitation of Liability
To the maximum extent permitted by applicable law, Rogue Trading Systems will not be liable for trading losses, lost profits, lost opportunities, account losses, brokerage costs, prop-firm fees, failed evaluations, missed payouts, indirect damages, consequential damages, third-party outages, or losses resulting from the use or inability to use the licensed software.
Nothing in this Agreement excludes liability that cannot legally be excluded.
26. Intellectual Property Enforcement
Unauthorized copying, distribution, resale, reverse engineering, license sharing, or misuse of Rogue Trading Systems software may result in license termination and other remedies available under applicable law.
27. Confidential and Proprietary Information
Certain strategy logic, technical information, protected settings, documentation, licensing methods, or other materials supplied to customers may be confidential or proprietary.
Customers may not disclose or distribute proprietary materials in violation of the applicable license or other written terms.
28. Governing Documents
This Agreement should be read together with the Rogue Trading Systems Terms of Service, Risk Disclosure, Disclaimer, Privacy Policy, purchase terms, and strategy documentation.
Where product-specific written terms conflict with this general Agreement, the more specific written terms may control to the extent of that conflict.
29. Changes to This Agreement
Rogue Trading Systems may update this Agreement when reasonably necessary to reflect changes in software, licensing technology, business practices, third-party requirements, or applicable law.
Material changes affecting active subscribers may be communicated through the website, customer email, licensing system, or another reasonable method.
30. Acceptance
By purchasing, subscribing to, installing, activating, accessing, or using Rogue Trading Systems software, you acknowledge that you have reviewed and accepted the applicable software license terms.
