Terms of Use
1. About Rogue Trading Systems
Rogue Trading Systems is an independent software provider based in the State of Texas that develops automated trading strategy software for supported NinjaTrader® 8 environments.
Rogue Trading Systems is not a broker, futures commission merchant, commodity trading advisor, investment adviser, financial planner, fiduciary, exchange, proprietary trading firm, or market-data provider.
2. Software and Services
Rogue Trading Systems provides access to automated trading strategy software, documentation, updates, activation services, and technical support associated with supported Rogue products.
The current Rogue Trading Systems subscription is structured as a single monthly software license that provides access to the complete current Rogue strategy suite made available under that license.
3. Monthly Subscription License
An active Rogue Trading Systems subscription provides a limited, revocable, non-exclusive, non-transferable license to use the licensed Rogue software for the duration of the active monthly subscription.
Unless otherwise stated in writing by Rogue Trading Systems:
- The license renews on a monthly subscription basis.
- One active license is authorized for one computer at a time.
- The license includes access to the current Rogue strategy suite.
- Updates released for supported licensed software are included while the subscription remains active.
- Supported technical assistance is included while the subscription remains active.
4. One Computer Per License
Each Rogue Trading Systems license is authorized for use on one computer at a time.
A customer may request transfer of an active license to a replacement computer. When a transfer is approved, the prior authorized computer may be deactivated before or when the replacement computer is activated.
A customer may not use one license simultaneously on multiple computers unless Rogue Trading Systems expressly authorizes such use in writing.
5. Brokerage and Proprietary Trading Accounts
A valid Rogue license may be used with multiple compatible brokerage and proprietary trading accounts from the authorized computer, subject to the policies, technical requirements, account limitations, and trading rules imposed by each third-party provider.
Rogue Trading Systems does not guarantee that any particular broker, proprietary trading firm, account type, exchange connection, data provider, or third-party service will permit or continue to permit automated strategy use.
6. Subscription Expiration and Access
Access to licensed Rogue software requires an active subscription. If a subscription expires, is canceled, is terminated, or payment is not successfully completed, access to licensed systems may be disabled or otherwise cease at the end of the applicable paid subscription period.
7. Payments
Subscription fees are charged according to the pricing displayed at the time of purchase or renewal.
Customers are responsible for maintaining valid payment information and for any applicable taxes, fees, exchange charges, or other costs associated with their purchase.
8. Refund Policy
Except where required by applicable law, payments to Rogue Trading Systems are non-refundable.
This includes subscription payments, renewals, licensing fees, and other software-related charges once processed.
Customers are responsible for confirming that they meet platform, computer, brokerage, data, and account requirements before purchasing or using Rogue software.
9. Technical Support
Active subscriptions include reasonable technical support for supported installation, licensing, activation, software configuration, and operation issues involving Rogue Trading Systems products.
Technical support does not include individualized financial advice, trading recommendations, account-management services, brokerage support, proprietary-firm rule interpretation, computer repair, internet support, or third-party platform support outside Rogue software.
10. Software Updates
Rogue Trading Systems may issue fixes, revisions, enhancements, compatibility changes, or other updates to supported products.
Updates made available for the licensed product are included while the customer’s subscription remains active unless otherwise expressly stated.
Rogue Trading Systems does not guarantee that every prior version will remain supported indefinitely.
11. User Responsibilities
The customer is solely responsible for the decision to enable, disable, configure, monitor, or use any automated trading strategy.
Customers are responsible for:
- Understanding the risks associated with futures trading.
- Reviewing all strategy settings before activation.
- Maintaining sufficient capital and margin.
- Monitoring account and platform status.
- Maintaining stable computer, internet, platform, and data connections.
- Understanding brokerage and proprietary trading firm requirements.
- Knowing how to disable strategies and flatten positions when necessary.
12. Automated Trading Risk
Automated trading systems can generate and transmit orders without manual confirmation. Software, hardware, internet connections, data feeds, brokerage connections, exchange conditions, latency, order routing, and other factors can affect execution.
A strategy may behave differently in live trading than it did in historical, simulated, or backtested environments.
13. No Guarantee of Performance
Rogue Trading Systems does not guarantee profit, income, account growth, drawdown limits, win rates, profit factors, payout eligibility, evaluation success, or any other trading result.
Historical, hypothetical, simulated, or backtested results are not guarantees of future performance.
14. No Investment or Trading Advice
Rogue software, website content, documentation, examples, videos, support responses, and other materials are provided for software, informational, and educational purposes.
Nothing provided by Rogue Trading Systems constitutes individualized investment, commodity, financial, tax, legal, or trading advice.
15. Third-Party Platforms and Services
Rogue Trading Systems software may depend on third-party platforms, brokerage services, proprietary trading firms, data providers, exchanges, internet providers, operating systems, and other services.
Rogue Trading Systems does not control those third parties and is not responsible for outages, policy changes, pricing changes, technical failures, account restrictions, order handling, market-data issues, or discontinued services caused by third parties.
16. NinjaTrader®

No NinjaTrader company has any affiliation with the owner, developer, or provider of the products or services described herein, or any interest, ownership or otherwise, in any such product or service, or endorses, recommends or approves any such product or service.
17. Proprietary Trading Firms
References to proprietary trading firms, funded trading programs, evaluations, or account structures are informational only.
Proprietary trading firms may change their rules at any time. Customers are responsible for determining whether automated strategies are permitted and whether their configuration complies with applicable account rules.
18. Intellectual Property
Rogue Trading Systems retains all ownership rights in and to its software, compiled code, strategy logic, documentation, branding, designs, proprietary materials, and related intellectual property, except for third-party materials owned by their respective owners.
Purchasing a subscription grants a limited right to use the licensed software. It does not transfer ownership of the software or underlying intellectual property.
19. Prohibited Uses
Customers may not, except where applicable law expressly permits:
- Redistribute, resell, sublicense, lease, rent, or share Rogue software.
- Provide unauthorized third parties access to licensed software.

- Modify or create unauthorized derivative versions for redistribution.
- Use Rogue intellectual property to create or distribute a substantially copied competing product.
20. License Suspension or Termination
Rogue Trading Systems may suspend or terminate access where reasonably necessary because of nonpayment, fraud, chargeback abuse, unauthorized distribution, licensing circumvention, misuse of software, material violation of these Terms, or conduct that threatens Rogue systems or intellectual property.
Termination of access does not eliminate amounts lawfully owed before termination.
21. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Rogue Trading Systems products and services are provided on an “as is” and “as available” basis without warranties of guaranteed profitability, uninterrupted operation, error-free performance, fitness for a particular trading objective, or compatibility with every third-party service or configuration.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Rogue Trading Systems and its owners, affiliates, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, exemplary, special, or punitive damages arising from use of or inability to use Rogue products or services.
This includes, without limitation, trading losses, lost profits, lost opportunities, missed trades, failed evaluations, proprietary trading account losses, brokerage losses, data failures, platform failures, internet failures, hardware failures, or third-party actions.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
23. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Rogue Trading Systems and its owners, affiliates, employees, and service providers from claims, losses, liabilities, damages, costs, or expenses arising from your misuse of Rogue products, violation of these Terms, violation of third-party rules, or unlawful conduct.
24. Governing Law and Venue
These Terms and any dispute arising from or relating to Rogue Trading Systems products, services, subscriptions, website use, or these Terms will be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable federal law or other mandatory law controls.
